CONTRACT FORM
This Agreement is made and entered into on [Date], by and between Dispatchional Inc., hereinafter referred to as “Dispatchional,” and [Carrier Company Name], hereinafter referred to as “Carrier.”
1. Services Provided: Dispatchional agrees to provide dispatching services to Carrier, which includes but is not limited to:
- Finding freight loads
- Negotiating rates
- Handling paperwork and communication related to loads
2. Term: This Agreement shall commence on the date first above written and shall continue until terminated by either party with 30 days written notice.
3. Compensation: Carrier agrees to pay Dispatchional a commission on each load based on the amount mutually agreed upon for that specific load. Payments are due upon receipt of the invoices or as otherwise agreed in writing.
4. Responsibilities of Carrier:
- Maintain all necessary licenses, permits, and insurance required for the transportation of goods.
- Operate the vehicle(s) in a safe and legal manner.
- Promptly provide Dispatchional with all necessary information and documentation for the dispatching process.
5. Responsibilities of Dispatchional:
- Use best efforts to find suitable freight loads for Carrier.
- Provide timely and accurate communication to Carrier regarding load details.
- Address and resolve any issues related to the loads. This includes communication with brokers, as well as handling appointment scheduling, updates and dispute resolution as needed.
- Handle all necessary paperwork related to the dispatching of loads.
6. Confidentiality: Both parties agree to keep confidential any and all proprietary information and trade secrets of the other party.
7. Indemnification: Each party agrees to indemnify and hold harmless the other party from any claims, damages, or expenses arising out of or related to this Agreement, except to the extent caused by the indemnified party’s negligence or willful misconduct.
8. Termination: This Agreement may be terminated by either party with 30 days written notice.
Upon termination, all outstanding fees and charges shall become immediately due and payable.
9. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
10. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, relating to the subject matter hereof.
11. Amendments: Any amendments to this Agreement must be in writing and signed by both parties.
